Establishing a representative office in China is a common entry strategy. Although representative offices are not limited to particular industries, they arerestricted to how the office is allowed to conduct business. In short, a representative office is prohibited from engaging in direct business activities and should mainly conduct market research, liaison activities, and preliminary market investigations for the parent company. Whether a representative office is taxable in China depends on the nature and level of its activities. If a representative office merely provides a point of contact, then it should not be subject to income tax in China. However, if its level of activities includes the provision of purchasing or quality control services to the parent company, the representative office might be subject to tax on a 'deemed income' basis.

Business Scope
A representative office is not a separate legal entity and is prohibited from engaging in direct business activities.
A representative office is permitted to conduct business activities as follows:
. preliminary market research and investigation activities
. liaison activities on behalf of the parent entity
. business promotion activities

Documents for the establishment of foreign representative offices
1.Application letter to be signed by the president or the general manager of the head office with their printed names
2.Certificate of incorporation ( A Hong Kong company should also provide its business registration certificate).
3.An original bank letter to be issued by the bank of the head office
4.Appointment letter to be signed by the president or the general manager of the company to appoint the chief representative of Beijing office (original)
5.Resume of the chief representative or the representatives
6.Copy of ID card or passport of the chief representative or the representatives
7.their 5 2-inch photos
8.Copy of the office lease contract
9.Ownership certificate with the seal of the owner
10. Other related forms which we draft and need to signed on by president or chief representative
Please Note:
1. documents from a Japanese company should be sealed its seals
2. Two introductory letters are needed if the chief representative or the representatives are local Chinese
3. The documents have to be translated into Chinese if they are in foreign languages
